Direct Counsel is seeking a Corporate Associate Attorney for a Venture Capital & Emerging Companies practice with a top law firm in New York, NY, or Boston, MA. This position is ideal for an experienced attorney who is passionate about advising emerging companies and venture capital investors. The role involves substantial responsibility, from drafting and negotiating key venture capital investment agreements to guiding clients through complex transactional and operational matters. This is a great opportunity for an entrepreneurial attorney to work closely with industry leaders while developing deep expertise in the field of emerging companies and venture capital.

About the Corporate Section

This Corporate Section combines comprehensive legal expertise and practical business counseling, enabling clients to achieve their goals across a broad range of business transactions. The team advises both public and private clients in industries spanning commercial, financial, and industrial sectors.

Responsibilities

The Corporate Associate will:

• Draft and negotiate venture capital investment agreements, including NVCA standard forms.
• Lead negotiations on essential terms of venture capital investment agreements.
• Supervise, train, and mentor associates on all aspects of venture capital financing.
• Advise emerging companies on operational matters, including board and stockholder communications, approvals, and equity awards.
• Collaborate effectively within a team environment, with an in-office presence approximately 60% of the time, in line with firm guidelines.

Qualifications

• JD or LLM from an ABA-accredited law school.
• Admission (or eligibility for admission) in New York or Massachusetts.
• At least 4 years of experience in venture capital and emerging company practice.
• Proficiency in Excel and capitalization table management.
• Strong written and oral communication skills.
• Professional and client-focused demeanor.
• Excellent organizational skills, with the ability to prioritize tasks and manage deadlines.
• Ability to work collaboratively in a team setting.

Compensation

The salary range for this role is $310,000 to $365,000, and the position is bonus eligible. The firm offers a comprehensive benefits package.
